Hitachi and Nojima Form Strategic Partnership for Home Appliance Growth

Hitachi, Ltd. and its subsidiary, Hitachi Global Life Solutions, Inc. (Hitachi GLS), have announced a strategic partnership with Nojima Corporation to enhance the growth and value of Hitachi's home appliance business. This collaboration aims to address the diversifying customer needs in the rapidly evolving home appliance market.

Nojima will leverage its customer interaction capabilities to capture consumer insights, while Hitachi will utilize its advanced manufacturing technologies to produce high-quality products more efficiently. The partnership seeks to strengthen the Japanese concept of 'monozukuri,' or manufacturing, by integrating customer feedback into product development.

As part of this initiative, Hitachi GLS will establish a new company for its home appliance business, transferring 80.1% of its shares to a special purpose company managed by Nojima. This move is designed to enhance the competitiveness and sustainable growth of the business. Additionally, the new company will succeed the share purchase agreement between Hitachi GLS and Arçelik A.S. concerning their joint venture, Arçelik Hitachi Home Appliances B.V.

Upon completion of the agreements, the new entity will become a consolidated company under Nojima, with Hitachi GLS retaining a 19.9% stake. The share transfers are expected to conclude by the fiscal year ending March 31, 2027, pending regulatory approvals. The transfer price for the shares is approximately 110 billion yen, with final adjustments to be made.

Hitachi plans to use the proceeds from these transfers to accelerate growth and maximize corporate value, aligning with its management plan, 'Inspire 2027.' Following the reorganization, Hitachi GLS will focus on its air conditioning business within Hitachi's Urban Solutions & Services Business Unit, enhancing its offerings in building and facility management, energy management, and cooling solutions.

The partnership aims to create a global framework for the Hitachi-branded home appliance business, integrating customer insights from Nojima's sales channels into the development and manufacturing processes. This approach is expected to foster a virtuous cycle of continuous product improvement based on customer feedback.

Hitachi GLS President Hideki Osumi expressed optimism about the partnership's potential to drive sustainable growth by integrating Nojima's customer insights with Hitachi's manufacturing expertise. Nojima's Representative Executive President, Hiroshi Nojima, highlighted the opportunity to combine the company's customer touchpoints with Hitachi's technological capabilities to enhance product quality and reach a broader customer base.
